STRATEGIC PERSPECTIVE

Governance Mandate: Balancing Reinvestment Velocity and Long-Term Capital Yield

Strategic Imperative: Routeget Technologies maintains a structured, transparent dividend policy that rewards long-term shareholder commitment while preserving the financial resilience needed to capitalize on digital innovation opportunities.

Corporate capital allocation is among the most consequential responsibilities entrusted to the Board of Directors. At Routeget Technologies, our dividend distribution policy is engineered to strike an optimal balance between rewarding equity shareholders with consistent, predictable returns and retaining sufficient capital to fund research and development, strategic technology acquisitions, and global delivery expansion.

The declaration and payment of dividends—whether interim or final—is conducted in strict adherence to statutory corporate governance mandates, applicable international accounting standards (IFRS/GAAP), and solvent capital preservation principles. Our Board evaluates multi-dimensional financial parameters, including audited operational net cash flows, capital expenditure commitments, debt service ratios, and macroeconomic liquidity contingencies.

This formal policy establishes transparent guidelines for all classes of equity investors, institutional funds, and market regulators. By adhering to rigorous solvency thresholds and disciplined capital return formulas, Routeget ensures that dividend distributions reflect genuine underlying economic profit while reinforcing our long-term corporate creditworthiness and institutional autonomy.

EXECUTIVE FAQ

Frequently Asked Questions: Routeget Corporate Dividend Policy

Authoritative answers regarding dividend frequency, eligibility, record dates, and tax withholding.

The Board evaluates multiple financial and strategic parameters, including audited annual net operating profits, free cash flow generation, working capital requirements for multinational delivery centers, budgeted capital expenditures for technology R&D, debt repayment schedules, contractual lender covenants, and macroeconomic risk contingencies. Dividends are declared only when capital adequacy is thoroughly validated.
An interim dividend may be declared and distributed by the Board of Directors during the fiscal year based on reviewed half-year financial results without requiring prior shareholder approval. A final dividend is recommended by the Board following the completion of the full fiscal year audit and requires formal approval by equity shareholders at the Annual General Meeting (AGM) before disbursement.
Shareholders holding shares in electronic or dematerialized form must submit updated bank account details, IFSC/routing codes, and tax residency certificates directly to their respective depository participants (DPs). Shareholders holding physical share certificates should submit formal written requests accompanied by a cancelled cheque to the Company’s appointed Registrar and Share Transfer Agent (RTA).
Any dividend amount that remains unpaid or unclaimed due to outdated bank details or postal returns is transferred to a separate, dedicated Unclaimed Dividend Escrow Account. In accordance with statutory corporate laws, shareholders can claim these funds at any time by submitting verified identification to our secretarial department. Funds remaining unclaimed after seven years are transferred to the statutory Investor Education and Protection Fund.
